Very timely (and quick) post.

I think it's important to keep in perspective what rights are missing (anti-dilution, registration rights, etc.) in these documents compared to typical VC financings and the situations that these documents could be used in. I wrote something a bit more technical after being inspired by reading your initial commentary.
